Terms of Service

These terms govern your use of Netledger, a service operated by Appforgelabs LLC ("we", "us"). By using Netledger you agree to them.

1. Acceptance of terms

By accessing or using Netledger, you agree to be bound by these terms. If you do not agree, do not use the service.

2. The service

Netledger is a multi-tenant, double-entry accounting application. It provides a general ledger, accounts receivable, accounts payable, average-cost inventory, and financial reports (trial balance, profit and loss, and balance sheet). It is a bookkeeping tool, not accounting, tax, or legal advice. You are responsible for the accuracy of the data you enter and for meeting your own compliance obligations.

3. Accounts

You sign in with Google and are responsible for keeping access to that account secure. You must provide accurate information and are responsible for all activity under your account. You can delete your account at any time from the settings page; deletion is permanent and cancels any active subscription.

4. Subscriptions and billing

Netledger is a paid service billed at 99 USD per month per organization through Stripe on a recurring basis. Your subscription renews automatically until cancelled. You can cancel at any time from the billing portal; your access continues until the end of the period you have already paid for. Payments are non-refundable, including for partial billing periods. We may change the price with advance notice; changes take effect on your next renewal.

5. Plan limits

Each organization is subject to the limits of its plan, including a cap on full-access members and a cap on bill payments per billing cycle. Read-only auditors do not count toward the member cap. These limits are enforced by the application.

6. Acceptable use

You agree not to misuse the service: no attempting to access it by unauthorized means, no interfering with its operation or security, no reselling it without permission, and no using it to store unlawful content or to violate any applicable law.

7. Your data and intellectual property

You retain all rights to the business data you enter into Netledger. You grant us only the limited rights needed to host, process, and back up that data in order to provide the service. We retain all rights to the Netledger software, design, and brand. Nothing in these terms transfers ownership of the service to you.

8. Disclaimers and limitation of liability

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the service will be uninterrupted or error-free. To the maximum extent permitted by law, Appforgelabs LLC is not liable for any indirect, incidental, or consequential damages, or for loss of data or profits, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.

9. Termination

We may suspend or terminate accounts that violate these terms. You may stop using the service and delete your account at any time. Sections that by their nature should survive termination (for example ownership, disclaimers, and limitation of liability) continue to apply.

10. Governing law

These terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-laws rules. The courts located in New Mexico have exclusive jurisdiction over any dispute arising from these terms or your use of the service.

11. Changes

We may update these terms. Material changes will be reflected on this page with a new "last updated" date. Continued use after a change means you accept the updated terms.
